Royal Caribbean Group and Sandals Resorts have officially finalized a landmark 50-50 partnership, ending market speculation regarding a potential majority takeover. Under the confirmed terms, Royal Caribbean will invest approximately US$3 billion to acquire a 50 percent equity stake in Sandals and Beaches Resorts.

Key Deal Structure and Financials

Equal Ownership and Leadership: Pushing back against rumors suggesting Royal Caribbean would acquire a 51 percent majority stake, the companies established an equal partnership governed by a joint board under the co-leadership of Sandals Executive Chairman Adam Stewart and Royal Caribbean Chairman and CEO Jason Liberty. Stewart will remain Executive Chairman of Sandals and Beaches Resorts, guiding strategic direction.

Financing and Closing Timeline: Royal Caribbean secured committed debt financing through Morgan Stanley to fund the US$3-billion investment, representing a forward EBITDA multiple of roughly 10 times. The transaction is expected to close in early 2027, pending customary regulatory approvals and closing conditions.

Market Footprint: The combined entity is targeting a global vacation market valued at approximately US$2 trillion. Royal Caribbean brings a fleet of 71 ships across its Royal Caribbean, Celebrity Cruises, and Silversea brands, along with a 50 percent joint venture in TUI Cruises.

Strategic Synergies and Operations

Customer Crossover & Loyalty Integration: The partnership aims to drive crossover between cruise passengers and land-based resort guests. The companies are exploring avenues to connect their respective loyalty programs, eventually allowing guests’ status in one program to be recognized by the other.

Uninterrupted Operations: Existing bookings, resort operations, cruise schedules, and customer loyalty programs will continue as normal.

Honoring a Legacy: Sandals Executive Chairman Adam Stewart noted that the transaction validates the vision of his late father, Gordon “Butch” Stewart, who founded Sandals in Montego Bay over 40 years ago. Stewart emphasized that the capital injection will accelerate international resort expansion while maintaining Sandals’ core Caribbean roots and identity.

Expanding All-Inclusive Reach: Royal Caribbean CEO Jason Liberty highlighted the deal as a major strategic step into the all-inclusive resort space, complementing Royal Caribbean’s existing global cruise platform.
